These Terms & Conditions ("Terms") govern your access to and use of the CoAxis CRM website at https://coaxiscrm.com, the application at https://app.coaxiscrm.com, and related services (collectively, the "Service") provided by CoAxis CRM ("CoAxis," "we," "us," or "our"). By using the Service, you agree to these Terms.

Eligibility and Accounts

You must be at least 18 years old and authorized to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Free Trial and Subscriptions

We may offer a 14-day free trial with full feature access and no credit card required to start. At the end of a trial, continued use requires a paid subscription unless you cancel. Subscription fees, billing cycles, and plan features are described on our pricing page and in your order confirmation.

You may upgrade or downgrade plans as described at checkout. Downgrades generally take effect at the next billing cycle. Usage-based charges (such as SMS, calls, or AI credits) draw from your wallet balance as published in your account.

Acceptable Use

You agree not to:

• Use the Service in violation of applicable law or third-party rights
• Send unsolicited or unlawful communications through the platform
• Attempt to probe, scan, or test the vulnerability of our systems without authorization
• Reverse engineer or resell the Service except as expressly permitted
• Upload malware or content that disrupts the Service or other customers

Customer Data

You retain ownership of data you submit to CoAxis CRM. You grant us a limited license to host, process, and display that data solely to provide and improve the Service. You are responsible for obtaining any consents required to collect and use personal information through the platform.

HIPAA and Regulated Data

If you require HIPAA-compliant processing, you must enable our HIPAA compliance package and execute a Business Associate Agreement (BAA) before storing protected health information in the Service.

Service Availability

We strive for reliable uptime but do not guarantee uninterrupted access. We may modify features, perform maintenance, or suspend access to address security or legal concerns.

Cancellation

You may cancel at any time from your account settings. Cancellation stops future billing; access continues through the end of the current paid period unless otherwise stated. After cancellation, your data remains accessible for 30 days for export.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, CoAxis will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising from the Service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your jurisdiction.

Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes become effective constitutes acceptance.
